Terms of Service

These Terms of Service ("Terms") govern your use of PropSync software ("Software") provided by SizeWise Technologies ("Company", "we", "us", or "our"). By purchasing, downloading, installing, or using PropSync, you agree to be bound by these Terms.

IMPORTANT: PropSync is trading software. Trading futures and other financial instruments involves substantial risk of loss. Please read the Risk Disclaimer section carefully before using this Software.

1. License Grant

Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license to use PropSync on a single computer for personal or commercial trading purposes. This license is for the V1 version of the Software and includes all future V1 updates at no additional cost.

1.1 License Restrictions

  • You may not redistribute, resell, lease, license, or sublicense the Software
  • You may not reverse engineer, decompile, or disassemble the Software
  • You may not modify or create derivative works based on the Software
  • You may not use the Software on more than one computer simultaneously
  • You may not share your license key with third parties

2. Risk Disclaimer and Trading Acknowledgment

HIGH RISK WARNING: Trading futures, options, and other financial instruments carries a high level of risk and may not be suitable for all investors. You could lose some or all of your initial investment. Do not trade with money you cannot afford to lose.

By using PropSync, you acknowledge and agree that:

  • Trading Risk: All trading decisions are made solely by you. PropSync is a trade copying tool that executes orders based on your master account activity. Any profits or losses resulting from trades are entirely your responsibility.
  • No Guarantee of Profits: PropSync does not guarantee any trading results. Past performance is not indicative of future results.
  • Technical Risks: Software may experience bugs, errors, latency issues, connectivity problems, or unexpected behavior that could result in missed trades, duplicate orders, incorrect order sizes, or other trading errors.
  • Prop Firm Rules: You are solely responsible for ensuring your use of PropSync complies with your prop firm's rules and regulations. We are not liable for any violations of prop firm rules or resulting account terminations.
  • Market Conditions: Extreme market conditions, including but not limited to high volatility, low liquidity, and market gaps, may affect the Software's ability to execute trades as expected.

3. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties that the Software will be uninterrupted, error-free, or free of viruses or other harmful components
  • Warranties regarding the accuracy, reliability, or completeness of any results obtained through use of the Software
  • Warranties that the Software will meet your specific requirements or expectations

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIZEWISE TECHNOLOGIES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • Any direct, indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any trading losses, missed trades, or erroneous trades
  • Any damages arising from software bugs, errors, or malfunctions
  • Any damages arising from unauthorized access to or alteration of your data
  • Any damages arising from interruption or cessation of the Software's functionality

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.

5. Indemnification

You agree to indemnify, defend, and hold harmless SizeWise Technologies and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Software
  • Your trading activities
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights, including prop firm rules

6. Software Updates and Support

Your license includes all V1.x updates to the Software at no additional cost. We may release updates to fix bugs, improve performance, or add features at our sole discretion. We are not obligated to provide any specific updates, new features, or ongoing support. Major version upgrades (V2, V3, etc.) may require a separate purchase.

7. Third-Party Software

PropSync is designed to work with NinjaTrader 8, which is third-party software not owned or operated by us. We are not affiliated with NinjaTrader, LLC. Your use of NinjaTrader is subject to their separate terms of service. We are not responsible for any issues arising from NinjaTrader updates, changes, or discontinuation.

8. Termination

We reserve the right to terminate your license if you violate these Terms. Upon termination, you must immediately cease using the Software and delete all copies. Sections regarding disclaimers, limitations of liability, and indemnification shall survive termination.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SizeWise Technologies is registered, without regard to conflict of law principles. Any disputes arising from these Terms or the Software shall be resolved through binding arbitration in accordance with applicable arbitration rules.

10. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

11. Entire Agreement

These Terms, together with our Refund Policy, constitute the entire agreement between you and SizeWise Technologies regarding the Software and supersede all prior agreements and understandings.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a new "Last updated" date. Your continued use of the Software after changes are posted constitutes acceptance of the modified Terms.
